We represent the gambit of those parties involved in making business happen – from start-ups crafting the terms of a company worthy of investment, structuring capital whether it be debt, equity or hybrids, recognizing the risk profile and what will be attractive to investors for sustained growth -- to mature companies ready to exit in the form of sale, merger, or public exit. We’ve started banks from paper, created companies that have gone public, organized strategic alliances, partnerships, including international partnerships, joint ventures and licensing of technologies for global growth.


We are the “outside” in house counsel to companies seeking legal experience and equally as important - business acumen. One very enjoyable aspect of what we do is interacting with leaders of business organizations – be it the CEO of an established company who wants to bounce ideas off of someone that has been “in the room”, or the entrepreneur mulling over a growth and capital strategy. We form businesses, draft documents to govern those businesses and its owners, structure capital provided by investors, banks, other lenders, protect those businesses through proper contracting, and when the time is right, represent those businesses in mergers, acquisitions and divestitures.
